STUDIO AND CONTENT OWNER AGREEMENT
Agreement between African Story MovieBox and participating studios, filmmakers, and authorized content owners.
This agreement establishes the general conditions under which studios and authorized rights holders may submit content for publication and monetization through African Story MovieBox.
A separate signed agreement or written confirmation may be necessary for specific licensing, distribution, or exclusive access arrangements.
11.1 Parties
This agreement is between:
Platform: African Story MovieBox.
Content Owner: The individual, studio, production company, or other authorized rights holder identified during registration or in the applicable written agreement.
11.2 Ownership
The content owner retains ownership of its films and other submitted productions.
Nothing in this agreement transfers copyright ownership to African Story MovieBox unless a separate written agreement expressly provides otherwise.
11.3 Distribution Authorization
The content owner authorizes African Story MovieBox to host, stream, display, promote, and monetize the approved content within the scope of the applicable agreement.
Unless otherwise agreed in writing, the authorization is non-exclusive.
The content owner may continue exploiting its content through other lawful channels, subject to any separately agreed exclusivity restrictions.
11.4 Standard Revenue Sharing for Eligible User-Uploaded Content
Unless a separate written agreement applies, the standard monetization arrangement for eligible user-uploaded content is:
50% of applicable eligible revenue allocated to the creator revenue pool.
50% retained by African Story MovieBox.
The creator pool is distributed among eligible creators according to the applicable qualified-view and monetization rules.
A studio uploading multiple productions does not automatically receive the entire creator pool generated by those productions. Its entitlement depends on the applicable programme and the allocation rules.
11.5 Premium Movie Revenue
For eligible premium movies covered by the standard main-platform creator programme, the platform allocates 50% of applicable eligible subscription revenue to the shared studio or creator pool and retains 50% as its platform share.
The shared pool is distributed according to the relevant qualified-view calculation.
The applicable programme terms determine which subscription receipts and other revenue sources are included.
11.6 Exclusive Access Arrangements
Selected movies may be offered through an exclusive paid-access arrangement when the studio or authorized rights holder agrees to the arrangement.
Unless a separate written agreement states otherwise, the standard exclusive access split is:
Recipient
Share of eligible exclusive access revenue
Studio or authorized content owner
70%
African Story MovieBox
30%
Total
100%
This arrangement applies to the eligible exclusive access transaction, not automatically to every other revenue source associated with the movie.
The relevant exclusive access arrangement may provide for a 30-day access period following a qualifying purchase.
Only movies expressly selected and authorized for the exclusive programme are covered.
The studio or rights holder must have the authority to grant the relevant access rights.
11.7 Separate Shorts Service
African Story MovieBox Shorts is a separate service.
Premium Shorts, creator Shorts uploads, Shorts subscriptions, Shorts advertising revenue, Shorts payouts, and Shorts-specific access plans are excluded from this agreement unless a separate written agreement expressly includes them.
Participation in the main African Story MovieBox movie programme does not automatically grant rights to exploit content through African Story MovieBox Shorts.
11.8 Content Quality and Metadata
The content owner must provide accurate titles, descriptions, ownership information, and other required metadata.
The content owner must also ensure that uploaded files meet the platform’s technical specifications.
11.9 Rights and Warranties
The content owner represents that it owns or controls the rights necessary to grant the agreed permissions.
The content owner must disclose any restrictions, existing licenses, or third-party claims that may affect distribution.
11.10 Content Removal and Termination
The parties may request termination or removal in accordance with the applicable agreement.
Any separately agreed exclusivity period, access commitment, or distribution obligation must be respected unless lawfully terminated or otherwise agreed.
Termination does not automatically cancel accrued financial obligations.
11.11 Disputes
The parties should first attempt to resolve disputes through good-faith communication.
Unresolved disputes will be handled in accordance with the governing law and dispute-resolution provisions of the applicable agreement.
11.12 Governing Law
This agreement is governed by the laws of the Federal Republic of Nigeria, subject to any mandatory applicable legal requirements.
